Smart City announces purchase of Priority Networks, Inc.

Las Vegas, Nevada, August 14, 2006 - Smart City has announced the purchase of Las Vegas-based Priority Networks, Inc., creating synergies between the country’s two largest providers of telecommunications technology to the convention and hospitality industries.

The two companies, both recognized as industry leaders, will employ 550 people across the United States, and will service 40 event facilities and convention centers in 12 states, Washington D.C. and Puerto Rico. Smart City is also a local telephone company and Internet provider in Central Florida. While there will be some restructuring of upper management, company officials said, there will be no changes to the current operational staff. As private companies, financial terms of this transaction are not being disclosed.

According to Smart City President Paul Ashley, this new alliance will benefit clients, expand the company’s talent pool and mark the beginning of a new phase for the 20-year-old company.

“The merging of these two great companies means that we will have an even more incredible team of people providing the highest level of customer service that both Smart City and Priority Networks have been providing for years,” Ashley said. “As the top companies in this industry, we will be able to provide the latest in telecommunications technology.”

According to company officials, Priority Networks will continue to operate as a stand-alone company under the same name and its daily operations will be unaffected. Dan Poirier will remain president of Priority Networks.

Marty Rubin, currently the chief executive officer of Smart City, will now head the entire company.
